Wingent - User Service Agreement

Welcome to Wingent. This User Service Agreement (hereinafter referred to as "this Agreement") is a legally binding agreement between you (the "User" or "you") and the service provider of Wingent (hereinafter referred to as "we") regarding your use of the Wingent AI workspace platform (hereinafter referred to as "the Service").

By registering, logging in or using the Wingent service, you confirm that you have read, understood and agreed to be bound by all the terms of this agreement. If you are using the service on behalf of a company or organization, you declare and warrant that you have the authority to accept this agreement on behalf of that entity.

1. Service Overview

Wingent is an AI-based collaborative workspace platform designed to assist individuals, teams, and enterprises in building intelligent workflows, automating tasks, generating content, and enhancing work efficiency. Its main features include:

• Intelligent Prompting and Content Generation
• Data Analysis and Predictive Modeling
• Workflow Orchestration and Automated Execution
• Intelligent Processing of Files and Documents
• API Integration and Custom AI Application Development

2. Account Registration and Use

• You need to provide true and accurate identity information to complete the registration and update it in a timely manner.
• You should properly keep your account password and authentication information and be fully responsible for all actions under your account.
• It is prohibited to share, rent, transfer your account or use it for illegal purposes.
• We reserve the right to take measures such as warnings, restricting functions, suspending or terminating the accounts that violate this agreement.

3. User Content and Ownership

• User Content: Refers to any data, text, files, code, prompts, images, and other content that you upload, input, generate or process through the service.
• Ownership: You retain all intellectual property rights and other legal rights in the User Content.
• Usage License: You grant us a worldwide, non-exclusive, royalty-free, sublicensable license to store, process, transmit and display your content for the purpose of providing, maintaining and improving the service.
• Liability: You are fully responsible for the legality, authenticity and security of the User Content and must not upload content that infringes upon others' rights or violates laws and regulations.

4. AI-generated content

• The output content generated by the service ("AI Output") is based on your input and the model algorithm.
• We do not guarantee the accuracy, completeness or applicability of the AI Output. You should evaluate and verify its results on your own.
• You may use the AI Output for legal purposes without violating the law and the rights of third parties.
• You understand and agree that the AI Output may be subject to copyright, trademark or other rights restrictions, and you should determine its compliance on your own before use.

5. Prohibited Behaviors

You must not engage in the following behaviors when using the service:

• Generating or disseminating illegal, false, violent, pornographic, gambling, fraudulent, or other such content
• Infringing upon others' intellectual property rights, privacy rights, portrait rights, or other legitimate rights and interests
• Conducting reverse engineering, decompilation, cracking, or obtaining the source code of the system
• Using automated tools for web scraping, spamming, abuse, or disrupting the stability of the service
• Bypassing identity verification, security mechanisms, or accessing unauthorized functions
• Monitoring, tracking, or identifying personal identities without their informed consent

We reserve the right to take appropriate measures based on the severity of the circumstances, including but not limited to functional restrictions, account suspension, and legal liability pursuit.

6. Subscription and Fees

• Some features require a subscription to a paid plan to be used. The specific prices are subject to the official website's announcement.
• The payment is processed by a third-party payment platform (such as WeChat Pay or Alipay), and we do not store your complete payment information.
• The subscription service automatically renews. You can cancel it at any time through your account settings. After cancellation, the service remains valid for the current billing cycle.
• We reserve the right to adjust prices with prior notice.

7. Service Availability and Changes

We strive to ensure the stability of our services, but we do not guarantee that the services will never be interrupted. We may upgrade, maintain, adjust the functions or suspend the services. Major changes will be notified via email or in-app messages. Temporary interruptions caused by force majeure or system maintenance are not considered as breaches of contract.

8. Disclaimer

The service is provided "as is" and "as available". We expressly disclaim all warranties, whether express or implied, including but not limited to:

• The service is error-free, uninterrupted, secure or completely accurate.
• The AI output is suitable for a particular purpose.
• The service does not infringe on the rights of third parties.

You understand and agree that any risks arising from the use of Wingent shall be borne by you alone.

9. Limitation of Liability

• We shall not be liable for any indirect, incidental, special, consequential or punitive damages, even if we have been advised of the possibility.
• Our total liability (if any) shall not exceed the service fees actually paid by you in the past six months.
• You shall be solely responsible for any losses resulting from your breach of this agreement or illegal use of the service.

10. Intellectual Property Rights

All intellectual property rights in the interface, software, AI models, documentation, brand identifiers and other technical and content aspects of the Wingent platform are owned by the Wingent service provider or its licensors. This agreement does not grant you any intellectual property rights, except as expressly stated.

11. Termination of the Agreement

• You may stop using the service or cancel your account at any time.
• We reserve the right to suspend or terminate your account if you violate this agreement, abuse the service, or pose a security risk.
• After your account is terminated, we will handle your data in accordance with our data retention policy.

12. Applicable Law and Dispute Resolution

This agreement is governed by the laws of the People's Republic of China. Any dispute arising from or in connection with this agreement shall first be settled through friendly consultation by the parties; if consultation fails, either party has the right to bring a lawsuit to the People's Court of Minhang District, Shanghai.

13. Agreement Modification

We may update this agreement from time to time. Major changes will be notified to you at least 7 days in advance via email, in-app notifications or announcements on our official website. If you continue to use the service after the update, it will be deemed that you accept the revised terms.
